GhostPay Terms of Use

Effective date: September 3, 2026. These Terms govern your use of the GhostPay website, dashboard, checkout pages, embed script and API (the "Service") operated by [LEGAL ENTITY NAME]("GhostPay", "we", "us"). By creating a merchant account or paying through a GhostPay checkout you agree to these Terms and to our Privacy Policy.

1. Role of GhostPay

GhostPay is a non-custodial crypto payment gateway. It provides technical tools for merchants to accept on-chain stablecoin payments (USDT and USDC) and automate the delivery of digital goods or services. GhostPay is not a bank, exchange, broker, custodian, wallet provider, marketplace, escrow agent in the legal sense, or money transmitter.

We are not a party to the contract between a merchant and its customers. The merchant is the seller; GhostPay only relays payment information.

2. Accounts and eligibility

  • You must be at least 18 years old and legally able to enter into contracts to open a merchant account.
  • You are responsible for keeping your password, session and API key confidential, and for all activity under your account. Rotate your API key immediately if you suspect it has leaked.
  • You must provide accurate information and keep your payout wallet addresses correct. Funds sent to a wallet you configured cannot be recovered by GhostPay.

3. Fees

GhostPay charges a platform fee of 0.75% of each successfully settled payment. The fee is deducted on-chain by the escrow smart contract at settlement: 99.25% of the payment is forwarded to the merchant's wallet and 0.75% to GhostPay.

  • Gas passthrough. On some networks the exact amount shown at checkout may include a small network-cost component so the on-chain settlement can be executed. When applied, it is itemised in the checkout breakdown ("Network cost (gas)") before the buyer pays.
  • There are no subscriptions, setup fees, withdrawal fees or hidden spreads charged by GhostPay. Third-party costs (the buyer's own wallet or exchange fees, blockchain transaction fees paid by the buyer) are outside our control.
  • We may change the fee with at least 30 days' notice via the dashboard or email. Changes apply to payments created after the effective date of the change.

4. Non-custodial model and irreversibility

Payments are processed through smart contracts and sent directly to the wallets the merchant configures. GhostPay does not:

  • Hold, pool or safeguard customer or merchant funds.
  • Provide custodial wallets or private-key management.
  • Guarantee the value, peg or liquidity of any token.
  • Reverse, cancel or "undo" blockchain transactions.

Blockchain transactions are final. Payments sent to the wrong address, on the wrong network, with the wrong token, or for an amount that does not match the order may be lost or require manual investigation and cannot be guaranteed recoverable. Buyers must follow the exact amount, token and network shown at checkout.

5. No refunds or chargebacks by GhostPay

Because GhostPay never holds funds, GhostPay cannot issue refunds, reversals or chargebacks. All refunds, returns, disputes and customer support are the sole responsibility of the merchant and must be handled directly between the merchant and the buyer. Buyers should contact the merchant named on the checkout page and receipt.

6. Merchant responsibilities

As a merchant you are solely responsible for:

  • The products, services, licenses or access you sell or deliver using GhostPay, and for describing them accurately.
  • Complying with all laws and regulations that apply to you and your customers, including consumer-protection, tax, sanctions, anti-money-laundering and data-protection rules.
  • Obtaining any licences or registrations your activity requires in your jurisdiction.
  • The content of delivery emails, files and links you configure, and for hosting any files yourself (GhostPay does not host files).
  • Handling refunds, disputes and customer support.

7. Prohibited uses

You may not use GhostPay to sell, promote or facilitate:

  • Illegal goods or services, or goods that are illegal in the buyer's jurisdiction.
  • Content involving exploitation, abuse or hate, including any child sexual abuse material, or non-consensual intimate content.
  • Money laundering, terrorist financing, sanctions evasion, or attempts to disguise the origin of funds.
  • Fraud, scams, phishing, unauthorised access to systems, malware, or deceptive "investment" schemes.
  • Counterfeit goods or anything that infringes third-party intellectual property or other rights.
  • Weapons, controlled substances, or other high-risk categories that we reasonably decide not to support.
  • Any activity that would reasonably damage GhostPay's reputation, infrastructure or relationships with service providers.

8. Suspension and termination

We may suspend or permanently disable a merchant account, payment links, checkout pages or API access at any time, with or without prior notice, if we detect or reasonably suspect:

  • A violation of these Terms or the prohibited uses above.
  • Illegal, fraudulent or abusive activity.
  • Technical or security risks to our infrastructure or users.
  • A lawful request from a competent authority.

Because funds settle directly to your wallet, suspension does not affect payments already settled on-chain. You may close your account at any time by contacting us.

9. API, embed and acceptable use of the Service

  • You may use the API and embed script only for your own integration and within the published rate limits.
  • You must not attempt to circumvent security measures, scrape the Service, or interfere with other merchants' accounts.
  • The Service, its design, code and brand are owned by GhostPay or its licensors. You receive a limited, revocable, non-exclusive licence to use them as part of the Service.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service, blockchains, price feeds or third-party wallets will be uninterrupted, timely, secure or error-free.

11. Limitation of liability

To the maximum extent permitted by applicable law, GhostPay and its officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or loss of digital assets, arising out of or related to the Service, even if advised of the possibility of such damages. This includes losses resulting from:

  • The products or services a merchant sells.
  • Mistakes in wallet addresses, networks, tokens or amounts by a merchant or buyer.
  • Blockchain congestion, forks, smart-contract bugs, wallet or exchange failures, or price fluctuations.
  • Unauthorised access resulting from compromised credentials.

In all cases, GhostPay's total aggregate liability for any claim arising out of the Service is limited to the platform fees you paid to GhostPay in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in those cases the limitation applies to the fullest extent permitted.

12. Indemnification

You agree to indemnify and hold GhostPay harmless from any claims, damages, losses and expenses (including reasonable legal fees) arising from your products or services, your breach of these Terms, or your violation of any law or third-party right.

13. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules. Any dispute arising out of these Terms or the Service will be submitted to the competent courts of [JURISDICTION], unless mandatory consumer-protection law in your country of residence provides otherwise.

14. Changes to these Terms

We may modify these Terms from time to time. For material changes we will take reasonable steps to notify you (for example via the dashboard or email) at least 14 days before they take effect. Your continued use of GhostPay after the effective date constitutes acceptance of the updated Terms.
